End-User License Agreement
Effective date: July 20, 2026
This End-User License Agreement (“Agreement”) is between Jayi (“Jayi”, “we”, “us”) and the person or firm accessing our AI-assisted accounting platform (the “Service”). By creating an account or using the Service, you agree to this Agreement.
1. License
Subject to this Agreement, Jayi grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes, including providing accounting services to your clients.
2. Accounts
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate information and promptly notify us of any unauthorized use.
3. Your data
You (and your clients) retain all rights to the accounting data you connect to or upload into the Service. You grant Jayi a license to process that data solely to provide, secure, and improve the Service, as described in our Privacy Policy. You represent that you have the authority — including any required client authorization — to connect the accounting systems and data you use with the Service.
4. AI-generated suggestions and human review
The Service uses artificial intelligence to propose transaction categorizations and related bookkeeping changes, together with supporting evidence and confidence estimates. These outputs are suggestions only: no change is written to a connected accounting system without approval by a human reviewer in your firm. You are solely responsible for reviewing suggestions and for all entries you approve. The Service does not provide accounting, tax, audit, or legal advice, and AI outputs may contain errors.
5. Third-party services
The Service connects to third-party platforms such as QuickBooks Online. Your use of those platforms is governed by their own terms, and you are responsible for complying with them. Jayi is an independent application and is not endorsed by or affiliated with Intuit Inc.
6. Acceptable use
- No use that violates applicable law or third-party rights.
- No attempts to probe, disrupt, or gain unauthorized access to the Service or its infrastructure.
- No reselling, sublicensing, or reverse engineering of the Service.
- No connecting accounting data you are not authorized to access.
7. Intellectual property
Jayi and its licensors own the Service, including its software, design, and models configuration. No rights are granted except as expressly stated in this Agreement.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAYI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JAYI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. JAYI’S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED U.S. DOLLARS IF NO AMOUNTS WERE PAID.
10. Termination
You may stop using the Service and disconnect connected accounting systems at any time. We may suspend or terminate access for breach of this Agreement or to protect the Service and its users. Sections 3 and 7–12 survive termination.
11. Changes
We may update this Agreement from time to time. We will post the updated version at this URL and revise the effective date above; material changes will be communicated to account holders. Continued use of the Service after changes take effect constitutes acceptance.
12. Governing law and contact
This Agreement is governed by the laws of the State of Georgia, USA, without regard to conflict-of-laws principles. Questions about this Agreement can be sent to team@jayi.ai.
